Interpretation and Definitions
Interpretation
The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms and Conditions:
- Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
- Client means the individual, contractor, builder, developer, architect, or other legal entity engaging Our Services.
- Company (referred to as either “the Company”, “We”, “Us” or “Our” in these Terms and Conditions) refers to Blaze Estimating Inc., 260300 Writing Creek Crescent, Alberta, Canada.
- Construction Documents means blueprints, architectural drawings, engineering plans, specifications, project manuals, and any other documentation provided by the Client for the purpose of preparing Estimates or Quantity Takeoffs.
- Country refers to: Alberta, Canada
- Deliverables means the Estimates, Quantity Takeoffs, cost analyses, material lists, labour calculations, and any other documents or reports produced by the Company as part of the Services.
- Device means any device that can access the Service such as a computer, a cell phone or a digital tablet.
- Estimate or Construction Estimate means a detailed projection of anticipated costs for a construction project, including but not limited to materials, labour, equipment, and overhead costs.
- Project means the construction work for which the Client is requesting estimating Services.
- Quantity Takeoff means the detailed measurement and calculation of materials, components, and quantities required for a construction Project based on the Construction Documents provided.
- Service or Services refers to the construction estimating services provided by the Company, including but not limited to: residential construction estimating, commercial construction estimating, industrial project estimation, quantity takeoffs, material cost analysis, labour cost calculations, and bidding support services.
- Terms and Conditions (also referred to as “Terms”) means these Terms and Conditions, including any documents expressly incorporated by reference, which govern Your access to and use of the Services and form the entire agreement between You and the Company regarding the Services.
- Website refers to Blaze Estimating Inc., accessible from https://blazeestimating.ca/
- You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgment
These are the Terms and Conditions governing the use of Our Services and the agreement between You and the Company. These Terms and Conditions set out the rights and obligations of all Clients regarding the use of the Services.
Your engagement of Our Services is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all Clients who engage or use the Services.
By engaging Our Services, requesting an Estimate, or submitting Construction Documents, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not use the Services.
You represent that you are over the age of 18 and have the legal authority to enter into contracts. The Company does not provide Services to those under 18.
Your use of the Services is also subject to Our Privacy Policy, which describes how We collect, use, and disclose personal information. Please read Our Privacy Policy carefully before using Our Services.
Scope of Services
Services Provided
Blaze Estimating Inc. provides professional construction cost estimating services across Canada, including:
- Residential Construction Estimating: Single-family homes, multi-family residential, home additions, renovations, basements, kitchens, bathrooms, roofing, and siding.
- Commercial Construction Estimating: Office buildings, retail spaces, restaurants, warehouses, medical facilities, and educational buildings.
- Industrial Construction Estimating: Manufacturing facilities, processing plants, distribution centres, and industrial renovations.
- Quantity Takeoffs: Architectural takeoffs, structural takeoffs, mechanical/electrical/plumbing (MEP) takeoffs, and site work takeoffs.
- Specialized Services: Material cost analysis, labour cost calculations, equipment cost analysis, bidding support, and value engineering.
Service Standards
We commit to providing Estimates with a target accuracy rate of 95%. Our standard turnaround time is 24 to 48 hours for most Projects, depending on complexity and scope. Larger or more complex Projects may require additional time, which will be communicated to the Client upon review of the Construction Documents.
Geographic Coverage
We provide Services for construction Projects located throughout Canada, including all provinces and territories. Our Estimates account for regional variations in material costs, labour rates, building codes, and market conditions.
Client Responsibilities
Provision of Accurate Information
The Client agrees to provide complete, accurate, and current Construction Documents, including but not limited to:
- Architectural drawings and blueprints
- Engineering plans and specifications
- Project specifications and requirements
- Site conditions and any known constraints
- Permit requirements and local building code information
- Any special requirements or preferences
Client Acknowledgment
The Client acknowledges that:
- The accuracy of Our Estimates depends directly on the completeness and accuracy of the Construction Documents provided.
- Incomplete, unclear, or inaccurate Construction Documents may result in Estimates that do not reflect actual Project costs.
- Any changes to Project scope, design, or specifications after an Estimate is provided may require a revised Estimate at additional cost.
- Market conditions, material prices, and labour rates fluctuate and may change between the date of the Estimate and the actual construction period.
Deliverables and Intellectual Property
Ownership of Deliverables
Upon full payment, the Client receives a non-exclusive license to use the Deliverables for the specific Project for which they were prepared. The Company retains all intellectual property rights in the methodologies, templates, databases, and proprietary systems used to create the Deliverables.
Permitted Use
Deliverables may be used by the Client for:
- Project budgeting and financial planning
- Contractor bidding and procurement
- Loan and financing applications
- Internal Project management purposes
Restrictions on Use
The Client agrees not to:
- Resell, redistribute, or commercially exploit the Deliverables
- Remove or alter any proprietary notices or branding from the Deliverables
- Use the Deliverables for Projects other than the specific Project for which they were prepared
- Misrepresent the source or authorship of the Deliverables
Payment Terms
Pricing
Service fees are quoted on a per-Project basis and depend on Project complexity, scope, and turnaround requirements. A quote will be provided upon review of the Construction Documents and Project requirements.
Payment Schedule
Unless otherwise agreed in writing:
- Payment is due upon delivery of the Deliverables.
- For larger Projects, a deposit may be required before work commences.
- Rush orders or expedited turnaround may incur additional fees.
Late Payment
Invoices not paid within 30 days of the invoice date may be subject to interest charges at a rate of 1.5% per month (18% annually) on the outstanding balance. The Company reserves the right to suspend Services for Clients with overdue accounts.
Revisions and Changes
Included Revisions
Each Estimate includes one round of revisions at no additional charge, provided the revisions are requested within 14 days of delivery and do not involve changes to the Project scope or Construction Documents.
Additional Revisions
Revisions requested beyond the included revision, or revisions required due to changes in Project scope, design modifications, or updated Construction Documents, will be quoted separately and billed at Our standard hourly rate or as a flat fee.
Estimate Accuracy and Limitations
Nature of Estimates
Construction Estimates are projections based on the information available at the time of preparation. They are not guarantees of actual construction costs. The Client acknowledges that:
- Estimates are prepared using current market data, industry standards, and professional judgment.
- Actual construction costs may vary due to factors beyond Our control, including but not limited to: market fluctuations, supply chain disruptions, labour availability, weather conditions, site conditions, design changes, contractor pricing, and unforeseen circumstances.
- Estimates do not include costs for items not shown or specified in the Construction Documents, including but not limited to: permit fees, design fees, financing costs, land costs, furnishings, or soft costs unless specifically requested.
Accuracy Commitment
We strive for 95% accuracy in Our Estimates based on the Construction Documents provided. This accuracy target is a goal, not a guarantee, and is contingent upon the completeness and accuracy of the information provided by the Client.
No Guarantee of Bids
Our Estimates are independent assessments and do not guarantee that contractors will bid at or near the Estimated amounts. Contractor bids are influenced by many factors including their workload, overhead, profit margins, and market conditions.
Confidentiality
Client Information
The Company agrees to maintain the confidentiality of all Construction Documents, Project information, and business information provided by the Client. We will not disclose such information to third parties without the Client’s consent, except as required by law.
Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of the Company
- Was known to the Company prior to disclosure by the Client
- Is independently developed by the Company without use of the Client’s information
- Is required to be disclosed by law or court order
Cancellation and Refunds
Cancellation by Client
The Client may cancel a Service request at any time by providing written notice. Refunds will be processed as follows:
- Before work commences: Full refund of any deposit paid.
- After work commences but before delivery: Refund of deposit less a fee for work completed, calculated on a pro-rata basis.
- After delivery: No refund available.
Cancellation by Company
The Company reserves the right to cancel a Service request if:
- The Client fails to provide required Construction Documents or information
- The Project is outside Our scope of expertise
- The Client breaches these Terms
- Payment is not received as agreed
Links to Other Websites
Our Website may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.
Termination
We may terminate or suspend Your access to Our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.
Upon termination, Your right to use the Services will cease immediately. Any Deliverables already paid for and delivered remain licensed to You as per the Intellectual Property section above.
Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You for the specific Services giving rise to the claim.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including but not limited to:
- Damages arising from the difference between Estimated costs and actual construction costs
- Lost profits, lost revenue, or lost business opportunities
- Damages arising from delays in Project completion
- Damages arising from reliance on Estimates for financing, bidding, or contracting purposes
- Damages for loss of data or other information
- Business interruption or personal injury arising out of or in any way related to the use of or inability to use the Services
This limitation applies even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some provinces do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these provinces, each party’s liability will be limited to the greatest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services
- Your breach of these Terms
- Your provision of inaccurate or incomplete Construction Documents or information
- Any third-party claims arising from Your use of the Deliverables
“AS IS” and “AS AVAILABLE” Disclaimer
The Services are provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Services, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
Without limiting the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that:
- The Services or Estimates will meet Your specific requirements or expectations
- The Estimates will accurately predict actual construction costs
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the Services will be accurate or reliable
Professional Disclaimer
The Company provides construction estimating services only. We are not licensed architects, engineers, contractors, or legal or financial advisors. Our Services do not constitute architectural, engineering, contracting, legal, or financial advice.
Clients should consult with appropriately licensed professionals for design, engineering, construction, legal, and financial matters related to their Projects.
Governing Law
The laws of the Province of Alberta and the federal laws of Canada applicable therein, excluding conflicts of law rules, shall govern these Terms and Your use of the Services. Your use of the Services may also be subject to other local, provincial, or federal laws.
Disputes Resolution
If You have any concern or dispute about the Services, You agree to first try to resolve the dispute informally by contacting the Company. If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Arbitration Act of Alberta, with arbitration to take place in Calgary, Alberta.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Entire Agreement
These Terms and Conditions, together with Our Privacy Policy and any specific Service agreement or quote provided, constitute the entire agreement between You and the Company regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to engage Our Services after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Services.
